Southern Scientific Instruments Terms and Conditions
TERMS AND ACCEPTANCE
Buyer is defined as the person or company purchasing the equipment.Seller is defined as Southern Scientific Instruments, also known as SSI.
Item is defined as the product and service to be supplied by the SSI.
Order is defined as purchase order that is issued by the buyer for the items.
An order is accepted by SSI upon receipt of payment and/or agreed upon deposit by an approved form of payment. Once SSI accepts the order, a binding agreement between SSI and the buyer commences.
CANCELLING AN ORDER
A buyer who cancels an order at any time prior to shipping will be subject to a 20% service fee. Once an order has been received, the LIMITED WARRANTY will commence.
PACKING, SHIPPING, INSURANCE
Packing and shipping fees are paid by the buyer unless otherwise noted and insurance fees are built into the shipping fee. SSI will choose the shipping company to send the order. In certain cases, SSI may allow the buyer to use their own shipping company. The buyer is obligated to thoroughly examine the packaging upon arrival and make a notation of any damage prior to signing for acceptance. Once accepted, the buyer assumes all liability for any physical damage identified and/or incurred after the point of acceptance. The buyer has the obligation to notify SSI in writing within 24 hours after acceptance of any damaged Instruments. If damage occurs when a buyer uses their own shipping company, the buyer will need to work with their shipping company to file an insurance claim. If the buyer is unable to file an insurance claim or cannot be paid for the damages, SSI will not accept a return of the order.
LIMITED WARRANTY
SSI offers items with and without a warranty. Items sold as-is do not include a warranty and once received these items cannot be returned for any reason unless physical shipping damage is reported within 24 hours. If physical shipping damage is not reported within 24 hours, then items sold as-is cannot be returned. Items sold with a warranty will receive a 30 day limited warranty. The warranty is only valid in the USA (does not include Hawaii or Alaska). SSI warrants the product sold against defects in materials and workmanship for the warranty period, which commences on the date of receipt by the buyer. The 30 day limited warranty offered covers all parts, labor and shipping. If an item needs repair, the buyer will be responsible for proper packaging of the equipment and all included accessories. SSI is not responsible for any additional costs of repair caused by poor packaging or in-shipment damage during return. If a defect exists, and SSI is obligated under its 30 day warranty, the buyer is required to contact SSI to obtain a Return Merchandise Authorization (RMA) prior to shipping the item to SSI for repair. SSI, in its sole discretion, may approve on-site service of certain items. Otherwise, at its option, upon return of an item, SSI will repair the item at no charge, using new or refurbished replacement parts or exchange the item with an item that is at least functionally equivalent to the original item. If SSI is unable to repair or replace the item within a reasonable period of time, SSI shall have the option of providing a refund of the purchase price of the item. This warranty does not cover (a) any software installed on items, (b) routine maintenance or service, breakage, or damage by misuse, intentional or unintentional abuse or neglect, or (c) consumables. SSI is not responsible for damages to facilities, other equipment, products, property or personnel of others, or of their agents. In any event, SSI total liability is limited to the lesser of actual damages or the original cost of the item as stated on the order. All warranty claims must be made in writing within the warranty period. All claims not made within the warranty period will be deemed waived by the buyer.
PAYMENT TERMS
SSI requires pre-payment prior to shipment of items unless otherwise agreed in writing. Seller accepts NET 30 payment terms under the following conditions: a) Printed order with purchase order number from a university or government agency or b) approved buyer who complete a credit application which is accepted by SSI. SSI will not offer NET 30 payment terms to first time buyers other than a university of government agency. Seller accepts the following forms of payment: checks, money orders, bank wires, ACH transfers, credit card payments up to $5000 (Master Card, Visa, American Express). Credit card fees of 3% are paid by the buyer. If a payment is past the NET 30 payment terms, a late fee equal to 5% of any outstanding invoice amount will be applied to all invoices unpaid after due date. If a balance reaches 15 days past due, SSI reserves the right to pursue any and all collection efforts and practices including referring the account to a collection agency and/or attorney and reporting to the credit bureau.
TAXES
SSI collects sales tax for sales delivered to North Carolina. If a buyer is tax exempt, documentation must be provided to SSI. For buyers receiving delivery in states other than North Carolina, the buyer is responsible for their applicable sales tax.
SOFTWARE
SSI does not sell software and software licenses unless otherwise noted. If a computer and software accompany an item, the computer and software are provided free of charge. The computer and software are pre-loaded on some items as a courtesy and for initial testing purposes only. It is the buyer’s responsibility to obtain and/or maintain a proper user agreement with the software provider. We assume no responsibility for the compatibility, issuance of the user agreement and/or license. The SSI warranty does not include any coverage for software.
LIMITED LIABILITY
By purchasing the items sold under this agreement from SSI, the buyer assumes full responsibility, and further the buyer will indemnify and hold harmless SSI against any and all claims, obligations or liabilities, including court costs and attorney’s fees, arising out of or relating to any issues that might arise from the matters set forth herein.
